Welcome to Caribbean Baby. These Terms & Conditions (“Terms“) govern your access to and use of caribbeanbaby.com (the “Site”) and the purchase of any products from us. The Site is operated by Innovation Activators Limited (“IAL,” “Caribbean Baby,” “we,” “us,” or “our“), a company registered in Trinidad and Tobago.

By using the Site or placing an order, you agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, and Return Policy. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to place an order on the Site. By placing an order, you represent that you meet this requirement and that all information you provide is accurate, current, and complete. Users between 13 and 17 may use the Site only with the involvement and consent of a parent or guardian.

2. Your Account

If you create an account, you are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorised use

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent activity.

3. Products and Pricing

We work hard to describe and display our books, toys, and bundles accurately, but we do not warrant that product descriptions, images, colours, pricing, or other content are error-free. Colours may vary slightly between screens and physical products.

All prices on the Site are listed in United States Dollars (USD) unless otherwise stated. Prices are subject to change at any time without notice, but changes will not affect orders we have already accepted.

We reserve the right to limit quantities, refuse or cancel orders, and discontinue products at any time. In the rare event of a pricing or product description error, we may cancel any affected order and refund any amount you have paid — even after an order is confirmed.

4. Orders and Acceptance

Your order is an offer to purchase. We accept your order only when we send an order confirmation email and dispatch the products. Until then, we may decline or cancel your order for any reason, including:

  • Product unavailability
  • Suspected fraud or unauthorised payment
  • Pricing or product errors
  • Shipping restrictions to your address
  • Failure to meet eligibility requirements

If we cancel your order after payment, we will refund the amount charged.

5. Payment

We accept the payment methods displayed at checkout. Payments are processed securely by our third-party payment provider. By providing payment information, you represent that you are authorised to use the payment method and that the information is accurate.

You are responsible for any applicable duties, customs fees, or import taxes charged by your country on international shipments. These are not included in the product or shipping price.

6. Shipping and Delivery

Shipping options, costs, and estimated delivery times are described on our Shipping page. Delivery times are estimates, not guarantees. We are not responsible for delays caused by carriers, customs, weather, or other events outside our control.

Risk of loss and title for products pass to you upon delivery to the carrier.

7. Returns and Refunds

Please review our Return Policy for details on returns, exchanges, and refunds. By placing an order, you agree to the terms of that policy.

8. Intellectual Property

All content on the Site — including books, illustrations, characters, photographs, logos, product designs, text, graphics, audio, video, software, and the selection and arrangement of all such content — is the property of Innovation Activators Limited, our authors and illustrators, or our licensors, and is protected by copyright, trademark, and other intellectual property laws.

You may view and download Site content for your personal, non-commercial use only. You may not:

  • Reproduce, distribute, modify, publicly display, or create derivative works of our content
  • Use any Caribbean Baby trademarks, brand names, or logos without our prior written permission
  • Scrape, crawl, or otherwise harvest content from the Site
  • Use Site content to train artificial intelligence or machine learning models

Free printables and resources we make available are provided for personal, educational, and classroom use only. Commercial use, redistribution, or resale is prohibited without our written permission.

9. User-Submitted Content

If you submit reviews, comments, photos, testimonials, or any other content to the Site or our social media, you grant Innovation Activators Limited a non-exclusive, worldwide, royalty-free, perpetual, sublicensable, and transferable licence to use, reproduce, modify, publish, and display that content in connection with our business and marketing. You represent that:

  • The content is your original work, or you have all necessary rights
  • The content is not unlawful, obscene, defamatory, infringing, or otherwise objectionable
  • If your content includes identifiable people (including children), you have obtained their consent (or a parent’s/guardian’s consent) for us to use the content

We reserve the right, but not the obligation, to remove any user content at our discretion.

10. Acceptable Use

You agree not to use the Site to:

  • Violate any applicable law or regulation
  • Infringe the rights of others
  • Transmit viruses, malware, or any harmful code

12. Disclaimers

The Site and all products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted or error-free.

Our products are intended to be used as described in their packaging and product listings. Please follow age recommendations and supervise young children with any product containing small parts or pieces. Some toys are not suitable for children under 3 years old; check product labels.

13. Limitation of Liability

To the maximum extent permitted by law, Innovation Activators Limited, its directors, employees, suppliers, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Site or any product purchased through it.

Our total liability to you for any claim arising from these Terms or your use of the Site or products will not exceed the greater of (a) the amount you paid us for the product giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law, and nothing in these Terms limits any non-waivable consumer rights you may have.

14. Indemnification

You agree to indemnify, defend, and hold harmless Innovation Activators Limited, its officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Site
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you submit to the Site

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Trinidad and Tobago, without regard to its conflict of laws principles. You agree that any dispute arising from these Terms or your use of the Site will be brought exclusively in the courts of Trinidad and Tobago, and you consent to the personal jurisdiction of those courts.

If you are a consumer residing outside Trinidad and Tobago, you may have additional rights under your local laws. Nothing in this section limits any mandatory consumer protections that apply in your country of residence.

16. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, acts of government, labour disputes, supply chain disruptions, internet or utility outages, or carrier delays.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Material changes will be communicated through the Site or by email where appropriate. Continued use of the Site after changes take effect means you accept the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Return Policy, constitute the entire agreement between you and Innovation Activators Limited regarding your use of the Site and supersede any prior agreements.
